Our nonprofit and exempt organization attorneys are leaders in their field, helping tax-exempt organizations and nonprofit corporations navigate some of the most complex legal issues they face. These include:

  • Guiding tax-exempt and governmental hospitals and nursing homes through the affiliation process.
  • Helping professional athletes, athletic coaches, and politicians form foundations to raise funds for charitable purposes.
  • Assisting with the spin-off of assets or activities into separate wholly-owned limited liability companies or nonprofit corporations. We also design and draft management service agreements between two or more related businesses.
  • Enabling organizations to legally and appropriately engage in lobbying or political activities.
  • Assisting historically non-compliant or involuntarily dissolved nonprofit corporations in cleaning up their books and records and coming into legal compliance and formal existence under state law.
  • Providing guidance to large institutional tax-exempt organizations on implementing and designing executive compensation and benefit programs that comply with the excess benefit transaction and rebuttable presumption standards.
  • Advising and guiding nonprofits through public disclosure issues involving predecessor organizations and/or donors.
  • Guiding tax-exempt organizations through legal issues involved with raffles, liquor licensing laws, grant applications and agreements, and the management of institutional funds.
  • Creating private foundations to implement charitable giving goals in connection with an individual’s estate plan.
  • Advising all types of organizations on unrelated business income tax and Form 990 reporting issues and related deficiencies.

Our Nonprofit and Exempt Organizations Industry Group includes tax lawyers, corporate lawyers, finance lawyers, estate planners, and litigators, all of whom have extensive experience working with nonprofits. For example, we typically help form more than 20 new nonprofit organizations each year — an average of one every 2½ weeks.
